TERMS AND CONDITIONS

1. Scope of application, contract partner

The business relationship between BOAS GmbH (hereinafter “seller”) and the customer (hereinafter “customer”) is governed exclusively by the following general terms and conditions in the version valid at the time the order is placed.

1.2. A consumer within the meaning of these terms and conditions is any natural person who concludes a legal transaction for a purpose that can primarily be attributed neither to their commercial nor to their independent professional activity (§ 13 BGB).

1.3. Deviating conditions of the customer are not accepted unless the seller expressly agrees to their validity.

2. Ordering process and conclusion of contract

. The presentation of the products in the online shop does not represent a legally binding offer, but an invitation to place an order. The contract is concluded by completing the order process, which the seller will provide the customer with an overview of below.

2.2. The customer can select products from the seller's range of products without obligation and collect them in a so-called shopping cart using the “add to shopping cart” button. The customer can then use the “Proceed to checkout” button within the shopping cart to complete the order process. Here, the customer must enter all necessary data in the fields provided for this purpose.

2.3. By clicking on the “Buy now” button, the customer submits a binding request to purchase the goods in the shopping cart. Before sending the order, the customer can check the data again and change it at any time. Required information is marked with an asterisk (*).

2.4. The seller then sends the customer an automatic confirmation of receipt by e-mail, in which the customer's order is listed again and which the customer can print out using the “Print” function (order confirmation). The automatic confirmation of receipt only documents that the customer's order has been received by the seller and does not represent an acceptance of the request. The purchase contract is only concluded when the seller has shipped the ordered product to the customer within 5 days, handed it over or confirmed the shipment to the customer within 5 days with a second email, express order confirmation or sending the invoice.

2.5. If the customer has selected payment in advance, the contract is concluded with the provision of bank details and payment request. If, despite the due date, payment has not been received by the seller by 10 calendar days after sending the order confirmation, even after being requested again, the seller has the right to withdraw from the contract, with the result that the order is void and the seller has no obligation to deliver. The order is then completed for the buyer and seller without further consequences. When paying in advance, the item is therefore reserved for a maximum of 10 calendar days.


3. Prices and shipping costs

3.1. All prices listed on the seller's website include the applicable statutory value added tax.

3.2. In addition to the prices stated, the seller charges shipping costs for deliveries outside Germany. The shipping costs are clearly notified to the buyer on a separate information page and as part of the ordering process. Shipping within Germany is free of charge.


4. Delivery, availability of goods

4.1. If payment in advance has been agreed, delivery will be made upon receipt of the invoice amount. In addition, the provider will ship the ordered products in good time that they will be delivered to the buyer within the shipping time specified in the offer.

4.2. If not all ordered products are in stock and this is expressly stated in the respective item description, the seller is entitled to make partial deliveries at his expense, insofar as this is reasonable for the customer. The parts of the order that are available at a later date will be delivered to the customer within the delivery time specified on the respective item page. If there are unforeseen delivery delays not mentioned in the item description for some of the goods, the seller will immediately inform the customer of this. In this case, the customer is free to withdraw from the contract or agree to one or more partial deliveries.


5. Payment methods

5.1. The customer can choose from the available payment methods as part of and before completing the order process. The available means of payment are:

  • credit card

Which payment methods are offered is at the sole discretion of the seller and depends in particular on the value of the goods, the composition of the shopping basket and who the customer is. In individual cases, in particular if the seller is aware of the customer's lack of creditworthiness, the seller may reject individual means of payment even after the order has been sent by the customer. In this case, the customer can decide whether he wants to pay using another means of payment or whether the order should be canceled.

5.2. The customer is only entitled to offsetting if his counterclaims have been legally established or recognized by the seller.


6. Retention of title

The delivered goods remain the property of the seller until full payment has been made.


7. Warranty for material defects‍

The warranty is determined without limitation in accordance with legal regulations.


8. Liability

8.1. The following exclusions and limitations of liability apply to the seller's liability for damages, without prejudice to the other legal eligibility requirements.

8.2. The seller is fully liable insofar as the cause of damage is based on intent or gross negligence.

8.3. Furthermore, the seller is liable for the slightly negligent breach of essential obligations, the breach of which jeopardizes the achievement of the purpose of the contract, or for the breach of obligations whose fulfilment makes the proper execution of the contract possible in the first place and on whose compliance the customer regularly relies (so-called cardinal obligations). In this case, however, the seller is only liable for the foreseeable, contract-typical damage. Subject to clause 8.4, the seller is not liable for the slightly negligent breach of obligations other than those set out in the previous sentences.

8.4. The above limitations of liability do not apply in the event of injury to life, body and health, for a defect following assumption of a guarantee for the quality of the product and for fraudulently concealed defects. Liability under the Product Liability Act remains unaffected.

8.5. Insofar as the seller's liability is excluded or limited, this also applies to the personal liability of employees, representatives and vicarious agents.

8.6. Section 7 remains unaffected.


9. Storage of contract text, contract language

9.1. The customer can print out the contract text before submitting the order to the seller by using the print function of his browser in the last step of the order.

9.2. The contract text is stored in digital form by the seller for the purpose of processing the contract and stored for 3 years.

9.3. The contract languages are German.

11. Note under the Consumer Dispute Settlement Act (VSBG):

We are not obliged and unwilling to participate in dispute resolution proceedings before a consumer arbitration board.


12. Jurisdiction, Applicable Law

11.1. Only the laws of the Federal Republic of Germany apply, excluding the UN Sales Convention. The statutory provisions restricting the choice of law and the applicability of mandatory provisions, in particular of the state in which the customer as a consumer has his habitual residence, remain unaffected.

11.2. The place of jurisdiction and place of fulfilment is the registered office of the seller if the customer is a merchant, legal entity under public law or a special fund under public law.
